The Australian Competition and Consumer Commission (ACCC) has singled out iron ore as a likely sticking point in the path to regulatory clearance of BHP Billiton’s bid for Rio Tinto. In its “statement of issues” document, a preliminary guide in which it outlines potential concerns about a proposed merger, the Commission has called for information and opinions on how the proposed merger is likely to affect the iron ore market, particularly in regard to the Australian steel industry. The Commission has also called for views on the likely impact on the supply of transport services, the supply of both metallurgical and thermal coal, bauxite, alumina and other areas of overlap, though it does not expect these areas to be “deal breakers”. The ACCC believes the proposed merger may raise competition concerns relating to the global sea-borne supply of iron ore lump and iron ore fines. The Commission believes steel makers would find it difficult and costly to alter the mix of the different forms or iron ore they use, thus limiting their options in response to any increase in the price of iron ore as a result of the merger. Competition between BHP Billiton and Rio Tinto currently “appears to have a direct impact on the outcome of annual sea-borne iron ore price negotiations and thereby influences the prices of iron ore lump and iron ore fines, including in Australia,” the Commission’s report said.
