Silver Lake and Dell are offering $24.4 billion for the company, the equivalent of $13.65 a share. Icahn, Southwest and other investors believe that the firm is worth more, so they submitted an alternative proposal that would allow shareholders to hold on to their stock and take an additional $12 a share in cash or stock. That may sound tempting, but Dell is not buying it. A special committee working on behalf of the company demanded more details about the bid in a response published in WSJ this week. The letter specifies that Icahn and Southwest have not yet proven that their offer is an “actual acquisition proposal.” Dell has every reason to be cautious about the bid. The company’s ongoing privatization was initiated after Michael Dell reached the conclusion that it cannot regain its competitive edge and meet investors’ near-term expectations at the same time – in his view, the choice is either going private or going broke. Dell’s attempt to make a comeback is two-pronged: the firm is trying to transform its business model and overhaul its offerings portfolio at the same time. In the enterprise, Dell is eyeing software-defined infrastructure. The company acquired Enstratius , a provider of on-demand software for managing hybrid clouds, earlier this month. (Reuters) – Dell Inc said in a letter to suitors Carl Icahn and Southeastern Asset Management that the company would not provide more information about itself unless the board determined that their proposal was “superior” to founder Michael Dell’s. Earlier this month, Icahn and Southeastern offered $12 in cash per share or additional shares to existing investors as an alternative to Michael Dell’s $24.4 billion bid to take the company private. Dell’s special committee of the board of directors said in a letter on Monday that Icahn’s affiliates and representatives had made a number of requests for information, including a request for data room access for a potential lender. “Please understand that unless we receive information that is responsive to our May 13 letter, we are not in a position to evaluate whether your proposal meets that standard,” the special committee said. The committee had on May 13 asked Icahn and his ally Southeastern for more details on their proposed offer. It had said it was not clear Icahn intended to make “an actual acquisition proposal that the Board could evaluate” or if he intended his offer as an alternative in the event the pending sale to Silver ...

The committee can’t engage in serious talks until they hear specifics, the letter said. Icahn and Southeastern proposed an alternate transaction to Dell’s proposed $24.4 billion go-private transaction with the private equity firm Silver Lake. The board committee responded by saying it wanted more information in order to evaluate. Aside from some chatting to a CNBC anchor about wanting to fire Michael Dell as the company’s CEO, and nominating a slate to replace the company’s current board of directors , the Icahn-Southeastern camp has been quiet. Icahn and Southeastern proposed their transaction before Dell reported quarterly earnings on May 16 . That earnings report showed a 79 percent year-on-year drop in quarterly profits. The committee last week asked the Icahn camp for details about how it would finance its proposed deal, and for a draft of a definitive agreement. Icahn has in recent weeks disclosed that he owns about 4.5 percent of Dell’s outstanding shares, while Southeastern has long been Dell’s largest outside shareholder, accounting for more than 8 percent. ...
